- “Client” – any individual or business purchasing services
- “Project” – the agreed-upon IT work
- “Subcontractor/Partner Company” – approved external agencies working under BinaryBeats supervision

4. Payment Terms (Work First → Payment Later)
BinaryBeats Infosys operates on a “Work First, Payment After Completion” model.
4.1 Payment Rule
- The Client pays only after the work is fully completed.
- There is one single milestone:
- 100% payment after final delivery
- No upfront payment is required.
- No partial payments, no multi-milestones.
4.2 When Payment Becomes Due
Payment becomes due when:
- All work is completed as per agreed scope
- Preview is shown to Client (screenshots, staging link, or demo)
- Client approves the final result
Only after approval, payment is requested.
4.3 After Payment
After receiving full payment, the Client gets:
- Full project handover
- Live deployment (if required)
- Final files/source code
- DocuSign Work Completion Certificate
- 30-day technical support
5. DocuSign Agreement (Signed After Project Completion & Payment)
BinaryBeats Infosys issues a DocuSign Work Completion Agreement only after:
- Work is fully completed
- Client approves the work
- Full payment has been received
The DocuSign confirms:
- Acceptance of completed work
- Confirmation of payment
- Transfer of rights
- Warranty/support
- Confidentiality
- No pending dues
- Project officially closed
6. Project Delivery Process
- Project starts after requirements are confirmed
- We complete the entire work
- Client receives preview/demo
- Client approves
- Invoice is sent
- Client makes the payment
- Final files + deployment + DocuSign completion provided
If the Client does not respond within 5 days after preview, the work is considered accepted.
7. 30-Day Free Post-Completion Support
BinaryBeats Infosys provides 30 days of free support after full delivery and payment.
Support Covers:
- Bug fixing
- Troubleshooting
- Minor technical adjustments
- Guidance on using delivered systems
Support Does NOT Cover:
- New pages/features
- New design or development
- Server/hosting issues not caused by us
- Third-party plugin/API issues
- Major changes outside original scope
New requirements are billed separately.
8. Use of Subcontractors / Partners
We may collaborate with trusted partner companies or subcontractors.
Clients agree that:
- Some work may be handled by partner teams
- BinaryBeats Infosys remains responsible for quality
- All communication & payments go through BinaryBeats Infosys
- Subcontractors cannot directly contact the Client
9. Client Responsibilities
The Client must:
- Provide correct requirements
- Supply access, content, and credentials
- Respond in reasonable time
- Approve previews promptly
Delays caused by the Client are not the Company’s responsibility.
10. Intellectual Property Rights
- Full rights transfer to the Client only after full payment.
- Until payment, all materials remain property of BinaryBeats Infosys.
- After DocuSign completion, the Client receives full ownership.
11. Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- Source code
- Business information
- Access details
- Project documentation
12. Limitation of Liability
BinaryBeats Infosys is not liable for:
- Business losses
- Third-party hosting failures
- Issues caused by client-side changes
- Problems with external plugins/APIs
- Delays due to client inaction
Maximum liability = amount paid by the Client.
13. Project Termination
A project may be terminated by the Company if:
- Client is unresponsive for 14+ days
- Fraud, abusive behavior, or misuse is detected
- Client repeatedly changes scope
- Client refuses to approve work despite full completion
Work already done remains billable.
14. Governing Law
These Terms are governed by:
- German Commercial Law (HGB)
- EU Digital Service Regulations
- International E-Signature Rules (DocuSign)
